Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dynacloud platform, websites, and hardware (together, the "Service"), provided by JTP Systems LLC d/b/a Dynacloud ("Dynacloud," "we," "us"), a Missouri limited liability company. By creating an account, purchasing hardware, or otherwise using the Service, you agree to these Terms on behalf of the business you represent ("Customer," "you").
1. The Service
Dynacloud provides a cloud-based software platform for monitoring, diagnosing, and optimizing rod-pump artificial-lift oil & gas wells, together with optional field hardware that measures pump load and position and streams data to the platform. The Service is intended solely for business and professional use by oil & gas operators and their personnel. It is not intended for personal, household, or consumer use.
2. Accounts
You must provide accurate account information and are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any unauthorized use. You are responsible for your users' compliance with these Terms.
3. Subscriptions, billing, and payment
Paid plans are billed on a recurring basis (monthly or annually) and priced per monitored well, as described at checkout and on our pricing page. Subscriptions renew automatically for successive periods until cancelled. Per-well charges adjust as you add or remove monitored wells. Payments are processed by our third-party payment processor, Stripe; you authorize us and Stripe to charge your payment method for all fees due. Fees are exclusive of taxes, which are your responsibility. Except where required by law, fees are non-refundable. We may change pricing prospectively on notice; changes take effect at your next renewal.
4. Free plan (simulator)
We offer a free plan that provides access to the platform using simulated wells for evaluation and training. The free plan is provided "as is," may be subject to usage limits, and may be modified or discontinued at any time.
5. Hardware
Hardware is sold as a one-time purchase. Title and risk of loss pass to you upon delivery to the carrier. Shipping timelines are estimates. Hardware may be covered by a limited warranty described in the applicable order or product documentation; except for that warranty, hardware is provided without further warranty to the fullest extent permitted by law. Third-party connectivity (cellular, satellite) and associated service plans are provided by the respective carriers and are not part of the Service.
6. Acceptable use
You will not misuse the Service, including by attempting to gain unauthorized access, interfering with its operation, reverse-engineering it (except as permitted by law), reselling it without authorization, or using it in violation of applicable law or third-party rights.
7. Customer data
As between the parties, you retain all rights to the well, production, and operational data you submit to the Service ("Customer Data"). You grant us a license to host, process, and use Customer Data to provide and improve the Service and as otherwise described in our Privacy Policy. You are responsible for having the rights necessary to provide Customer Data to us.
8. Operational responsibility & safety
The Service provides monitoring, analytics, and decision-support information only. It is not a safety system, emergency shutdown system, or real-time control system, and must not be relied upon as one. You remain solely responsible for the safe operation, control, maintenance, and regulatory compliance of your wells, equipment, and field personnel, and for all operational decisions. Diagnoses, recommendations, and optimization outputs are estimates that you must independently verify before acting.
9. Service availability
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. Any service-level commitments apply only if expressly agreed in a separate written order (e.g., Enterprise).
10. Disclaimers
Except as expressly stated, the Service is provided "AS IS" and "AS AVAILABLE," and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, production, or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.
12. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service, or your breach of these Terms, except to the extent caused by our own violation of these Terms.
13. Term and termination
These Terms apply while you use the Service. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach or non-payment. Upon termination, your right to use the Service ceases; sections that by their nature should survive will survive.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated effective date, and continued use of the Service after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located in Missouri.
